Two commodity finance names bought into gold developers this week. The terms are very different.
Osisko Gold and Trafigura
Osisko Gold (TSXV: OGG) closed a US$30 million share sale to Urion Investments, an affiliate of Trafigura, on October 9:
- Price: US$3.14, which the company says is a 10% premium to the five day volume weighted average price before signing
- Stake: about 3.0% on a non-diluted basis
The premium comes with conditions. Trafigura signed a voting support agreement, under which it generally votes with the board's recommendations, plus standstill and lock-up provisions.
The bigger number is still being negotiated: a prepayment facility of "up to US$120 million." There is no definitive agreement. A prepayment is usually repaid in metal, which is why a trader would want one.
Mayfair Gold and Macquarie
Mayfair Gold (TSXV: MFG) sold 2,346,701 shares to Macquarie at C$4.26 each on October 14, for about C$10 million. The release mentions no offtake, board seat, financing commitment or other rights, and does not give Macquarie's ownership percentage. The shares are held until February 15, 2027.
Why it matters
A premium share price from a commodity trader is rarely the whole deal. Osisko's shareholders should watch the prepayment terms, because that is where Trafigura's return will come from. Mayfair's release, as written, is a straight equity cheque.
