Emera, Canadian Utilities and ATCO announced on October 6 that Emera will acquire all shares of Canadian Utilities and ATCO, with ATCO's industrial business spun out as a new ATCO. The release calls the Emera and Canadian Utilities combination "a merger of equals."
The terms
- Canadian Utilities Class A holders (other than ATCO) get 0.755 of an Emera share; Class B holders 0.819.
- ATCO Class I and II holders get 0.865 of an Emera share plus one new ATCO share.
- Emera holders end with about 60%, former ATCO and Canadian Utilities holders about 40%.
- Pro forma enterprise value is about C$72 billion with about C$45 billion of rate base and a C$32 billion capital plan through 2030.
The release values the Canadian Utilities acquisition at about C$14.3 billion. It does not state a premium.
The wait
Closing is expected "in the third or fourth quarter of 2027." The deal needs two thirds votes at ATCO and Canadian Utilities, a simple majority at Emera, an Alberta court, the Alberta Utilities Commission, FERC, the FCC, CFIUS, competition reviews in Canada, the U.S., Mexico and Australia, and stock exchange approval. Sentgraf, which holds all ATCO voting shares and about 27% of the non voting shares, signed a support agreement.
Why it matters
Shareholders are being asked to swap into Emera paper and wait about a year, with no premium disclosed and a long list of regulators able to impose conditions.
